  • As announced by AdUX S.A. on 8 May 2024, Mr. van de Vrie will step down from the AdUX Board of Directors following the AdUX Annual General Meeting to be held on 26 June 2024.

Azerion enters into an Intercreditor Agreement and a Super Senior Working Capital Facility

Amsterdam, 4 April 2024 – Today, Azerion Group N.V. (the “Company”) announces it has entered into (i) an Intercreditor Agreement and (ii) a Super Senior Working Capital Facility Agreement with Citibank Europe plc (as original lender and agent), Citibank N.A., London Branch (as arranger) and Nordic Trustee & Agency AB (PUBL) (as security agent), amongst others, under which the Company is granted a EUR 15,000,000 super senior revolving credit facility (the "Super Senior Working Capital Facility").

Azerion and Bidstack resolve all claims and prepare new collaboration for 2024

Amsterdam, 11 December 2023 – Azerion Group N.V. ("Azerion") announces that it has today entered into an agreement with Principion Holding B.V. ("Principion") to simplify Azerion's loan structure by settling several loans outstanding between Azerion and Principion (the "Loan Settlement").

  • The Loan Settlement also provides Azerion the ability to use any ordinary shares in the capital of Azerion (the "Shares") to be acquired through the Loan Settlement mechanism for value creating purposes for all shareholders without the issuance of new Shares.
  • As at the date of this press release, the aggregate amount due and outstanding under the loans provided by (i) Principion to Azerion is approximately EUR 17.5 million, and (ii) Azerion to Principion is approximately EUR 36 million.
  • Principion will grant a right of pledge over 10,548,229 Shares held by Principion to Azerion group, as security for payment of the Remaining Loan Amount.

Amsterdam, 20 November 2023 – Following its Extraordinary General Meeting held on 16 November 2023, Azerion is pleased to report that its Supervisory Board has appointed Wim de Pundert to the role of Chair, Florence von Erb to the role of Chair of the Selection, Appointment and Remuneration Committee and Zafer Karataş as a member of the Selection, Appointment and Remuneration Committee.

  • As part of the arrangements relating to these new appointments, Klaas Meertens has announced that he will step down from the Supervisory Board on 31 January 2024, after completing a two year term from his original appointment.
  • In line with its ongoing development, Azerion intends to continue introducing additional experience to its Supervisory Board with further updates expected in the coming months.
  • The roles on the Supervisory Board will be reviewed in light of any such additional appointments.
